Legal Associate: Corporate is responsible for assisting Legal Counsel: Corporate and the Head of Legal Affairs with providing support on M&A transactions, contract management, electricity trading market rules and regulations, corporate finance transactions, managing due diligences, trust management, corporate governance, compliance tracking, the drafting and reviewing of a wide array of commercial contracts and providing advice on all corporate transactions and legal compliance requirements within the Red Rocket group. Responsibilities: Support Legal Counsel: Corporate and the Head of Legal Affairs with: Contract management: Managing corporate and trading contract undertakings post-signature/closing and coordinating for entities within the Red Rocket Group. Corporate M&A, Project M&A and extraordinary transactions: Supporting with all M&A activities and extraordinary transactions; Supporting the Development/Transactions/Trading teams on negotiation of LoIs, MOUs, Term sheets, Binding Offers, etc; and Coordinating legal due diligence processes (both for sell and buy side). Electricity trading: Regulatory: Advising the Head of Sales and other teams in respect of the NERSA Rules for Electricity Trading, the SAWEM Market Conduct Rules, the SAWEM Market Code, and other relevant market rules and regulations; Contractual: Advising on suite of contracts required for Red Rocket’s trading activities. Administration of trusts: Assisting with the administration of the Bathu Opportunity Trust and any other such similar special purpose investment vehicles required by the Group. Corporate finance transactions: Supporting the Director of Finance and the Director of Corporate & Project Finance with corporate finance transactions, including equity finance arrangements and corporate debt facilities. Corporate Governance: Supporting the Group Company Secretary with company secretarial requirements for the Group; and Managing corporate policy implementation and related reporting requirements to the Board and other stakeholders. Drafting and reviewing of commercial contracts: Drafting, reviewing and advising on commercial contracts such as SLAs, Terms and Conditions, NDAs, MOUs for all teams within the business, including any new business initiatives of the Red Rocket group. Minimum Educational Qualifications: Must have a LLB or similar degree in Law from an accredited law school Admitted Attorney Must have 1-3 years post qualification experience working in a corporate commercial legal capacity within a fast-paced, fast-evolving and dynamic environment, preferably working as an Associate or legal advisor. Other Skills: Legal Skills: the ability to identify and remedy complex legal issues without necessarily inviting the services of external legal advice; and the ability to draft and manage complex regulatory documentation, handling such matters comfortably within a fast-paced business environment. Communication Skills: must have exceptionally good communication skills, both written and verbal; and He/she will additionally need good communication skills in drafting high-value legal documentation, which must be clear, unambiguous and concise. Interpersonal Skills: must be a results-driven and service-driven individual who works well within a team, must have exceptionally good problem solving skills, be highly adaptable and flexible, work comfortably in a fast-paced and dynamic environment, have an ability to handle multiple simultaneous tasks and meet tight deadlines, be proactive and self-motivated, have a keen eye for detail, and have an ability to remain calm and composed during times of uncertainty and stress. must have good MS Office, MS Word, MS Excel, and PowerPoint skills, which will be necessary in the creation of various legal documents and engaging presentations as necessary. must possess strong initiative, as well as excellent people skills with a strong business acumen. #J-18808-Ljbffr
