Job Description Cognia Law is seeking a Senior Negotiation Specialist with strong experience in ISDA, GMRA, and GMSLA documentation to support the negotiation, review, and execution of complex financial market agreements for the commodities business. The role is responsible for managing documentation through the full contract lifecycle, partnering with legal, credit, commercial, compliance, and risk stakeholders, and helping to ensure that trading documentation, controls, and related processes are accurate, compliant, and aligned with commercial and regulatory requirements. Job Requirements Proven experience negotiating financial market documentation, including GMRA, GMSLA, ISDA and CSAs. Minimum of 8 years’ experience at a financial institution supporting derivatives across product lines. A law degree is preferred. Strong banking, finance, and regulatory background, with knowledge of derivatives rules being advantageous. Excellent communication skills, with the ability to engage stakeholders at all levels. Strong portfolio management and prioritisation skills, with the ability to perform effectively in target-driven environments. Fluent spoken and written English. In-depth understanding of ISDA Master Agreements, Credit Support Annexes (IM/VM), asset class definitions, confirmations, and protocols. Experience with MSFTAs and commodities-related derivative products is advantageous. Ability to work independently and as part of a team, while meeting deadlines, maintaining attention to detail, and keeping accurate records. Strong Microsoft Office skills, including Word, Excel, Outlook, and PowerPoint. Ability to provide guidance, training, and review support for junior team members. Demonstrated project management and stakeholder management skills, with strong attention to documentation and data accuracy. Job Responsibilities Collaborate with an international investment bank to facilitate the negotiation of financial documentation for the commodities business. Review, redline, negotiate, and process agreements such as ISDA Master Agreements, CSAs, Guarantees, and other market-related documents, supporting legal, credit, and commercial teams through the full contract lifecycle from draft to execution. Coordinate with internal stakeholders to ensure adherence to company policies, legal requirements, and commercial strategies, while maintaining contract templates and records. Principal agreements managed include ISDA, CSA, GMRA, and GMSLA. Draft documents based on stakeholder instructions and established playbooks, review templates and comments, and liaise with both bank stakeholders and clients to negotiate terms. Coordinate with internal and external counsel to ensure compliance with relevant regulations and policies, while maintaining up-to-date contract templates. Independently review and negotiate ISDA Master Agreements (both 1992 and 2002 forms) and proprietary FX Agreements, enabling the business to engage and transact with counterparties represented by counsel, senior executives, or derivatives advisors. Stay informed of legal and regulatory developments impacting derivatives regulation and ISDA documentation. Develop processes and procedures to maintain, record, and store trading documentation, including executed ISDA Agreements, counterparty authority documentation, and credit support materials. Manage trading documentation, deal flow, and reporting to track all outstanding and executed documents. Engage with senior management in Business, Credit, Legal, and Compliance departments to address issues related to trading documentation and ensure that templates comply with current laws and reflect internal credit policies. Ensure Transaction Services and Documentation activities comply with applicable laws and regulations, supporting the bank in managing legal and reputational risks. Coordinate with internal and external stakeholders, including legal counsel, credit risk management, and other departments, to facilitate timely and efficient transaction execution. Create, review, negotiate, and manage legal documents such as loan agreements, security documents, and other transactional materials to support timely completion. Prepare transaction summaries, conduct due diligence, and assist other departments as required. Develop and implement processes to support consistent transaction execution. Proactively identify, communicate, and provide legal advice regarding applicable laws, rules, and regulations (LRRs), maintain awareness of changes in LRRs within the coverage area, and support the effective integration of LRRs into relevant policies, standards, and controls. #J-18808-Ljbffr
